Terms of Service

Welcome to Facility Box. These Terms of Service ("Terms") govern your access to and use of our property operations management platform. By accessing or using Facility Box, you agree to be bound by these Terms.

Please read these Terms carefully before using our service. If you do not agree to these Terms, you may not use Facility Box.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using Facility Box on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Facility Box is a web-based property operations management platform that enables:

  • Portfolio managers to create organizations and manage multiple buildings
  • Property managers to handle day-to-day building operations, issue tracking, and tenant communication
  • Public users (tenants, visitors) to report issues and access building resources without creating accounts
  • Team collaboration through internal chat and issue tagging
  • Analytics, reporting, and data export capabilities

3. Account Registration and Security

3.1 Account Creation

To use Facility Box as a portfolio or property manager, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Immediately notify us of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent that you meet this age requirement.

3.3 Account Types and Limits

  • Portfolio Managers: Can create up to 3 organizations, with up to 10 buildings per organization
  • Property Managers: Accounts are created by portfolio managers and assigned to specific buildings
  • Public Users: Do not require accounts to report issues or access resources

4. User Responsibilities and Acceptable Use

4.1 Acceptable Use

You agree to use Facility Box only for lawful purposes. You will not:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the service to transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to any part of the service
  • Interfere with or disrupt the service or servers
  • Use automated systems (bots, scrapers) without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload viruses, malware, or other malicious code
  • Spam, abuse, or harass other users

4.2 Issue Reporting Guidelines (Public Users)

When reporting issues through the public interface:

  • Provide accurate and truthful information
  • Use the service for genuine building issues only
  • Do not submit spam, false reports, or abusive content
  • Do not upload inappropriate, offensive, or illegal images
  • Respect rate limits (3 reports per 10 minutes, 10 per 24 hours)
  • Use emergency services for true emergencies, not this platform

4.3 Content Ownership and License

You retain ownership of content you submit (issue reports, photos, documents, messages). By submitting content, you grant Facility Box a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your content solely for the purpose of providing and improving our service.

5. Service Limitations and Disclaimers

5.1 No Guaranteed Response

Facility Box is a communication and management tool. We do not guarantee that property managers will respond to or resolve reported issues. Response times and issue resolution are the responsibility of property managers and building owners.

5.2 Not for Emergencies

Facility Box is not designed for emergency reporting. For emergencies (fire, medical, security threats), always contact local emergency services or building emergency contacts directly. We are not liable for delays in emergency response.

5.3 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The service may be unavailable due to:

  • Scheduled maintenance
  • Technical issues or outages
  • Third-party service provider issues
  • Force majeure events

5.4 "As Is" Service

Facility Box is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. Fees and Payment

Facility Box offers a free trial period. After the trial, fees apply based on your usage (number of buildings). You agree to:

  • Pay all fees associated with your account
  • Provide valid payment information
  • Accept that fees are non-refundable except as required by law
  • Acknowledge that we may change fees with 30 days' notice

We reserve the right to suspend access for non-payment.

7. Data and Privacy

Our collection, use, and protection of your data is governed by our Privacy Policy. Key points:

  • Property manager contact information is publicly displayed on building pages
  • Resources uploaded by property managers are publicly accessible
  • Issue reports may be visible to portfolio managers and property managers based on building assignments
  • We implement security measures but cannot guarantee absolute security

8. Termination

8.1 By You

You may terminate your account at any time by contacting us at hello@facilitybox.com. Upon termination, your access will cease, but certain data may be retained as described in our Privacy Policy.

8.2 By Us

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account shows suspicious or abusive behavior
  • Payment is overdue
  • We must comply with legal requirements

We will provide reasonable notice before termination unless immediate termination is required for legal or security reasons.

9. Intellectual Property

Facility Box and its original content, features, and functionality are owned by us and protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our service or software without our express written permission.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Facility Box and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months prior to the claim, or $100, whichever is greater
  • We are not liable for issues, damages, or losses arising from: property damage, delayed issue resolution, data loss, service interruptions, or third-party actions

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Facility Box and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit to the service

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Uganda, without regard to conflict of law principles.

12.2 Dispute Resolution Process

If you have a dispute with Facility Box, you agree to first contact us at hello@facilitybox.com to attempt to resolve it informally. If we cannot resolve it within 30 days, either party may pursue formal dispute resolution.

12.3 Arbitration

Any disputes that cannot be resolved informally shall be settled by arbitration in accordance with the laws of Uganda. The arbitration shall be conducted in Kampala, Uganda, in English. Each party bears its own costs.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date
  • Sending email notification to registered users for significant changes

Your continued use of Facility Box after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the service.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Facility Box regarding use of the service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without notice.
